Article I – Name, Identity, Purpose and Continuity

1.1 Name

The institution shall be known as the United Gaming League (UGL). UGL is organized as an enduring professional digital-sport league and sports-media institution rather than a temporary tournament series, publisher league, or single-title competition.

1.2 Institutional Purpose

UGL exists to operate professional competition across multiple enduring Championship Families; support permanent Clubs and specialist athletes; preserve records, championships and sporting history; develop a coherent commercial and media system; and maintain governance capable of surviving changes in games, publishers, platforms and technology.

1.3 Continuity Principle

Families endure; disciplines build history; titles rotate; platforms evolve; athletes specialize; Clubs remain. The League shall interpret its governing instruments consistently with that continuity principle.

1.4 Principal Digital Platform

UGL.gg is the principal public League platform. UGL.gg/live is the current live-media gateway. Proprietary direct distribution may be introduced later under separately adopted commercial and technical rules.

Article II – Governing Authority and Document Hierarchy

2.1 Supremacy

These Bylaws are the highest internal governing authority of UGL, subject to applicable law and binding contractual obligations.

2.2 Operations Codex

The UGL Operations Codex is the second level of governing authority and consists of fifteen Books governing defined institutional domains.

2.3 Controlled Instruments

Schedules, Registers, Specifications, Manuals, Standard Operating Procedures, Checklists and Forms are controlled subordinate instruments. Variable information should reside in controlled instruments rather than being embedded permanently in constitutional text.

2.4 Clause Migration

Documents do not migrate. Clauses migrate. When earlier standards, policies or working papers are consolidated, their operative clauses shall be assigned to the appropriate Bylaw, Codex Book or subordinate instrument rather than preserved automatically as independent top-level authorities.

2.5 Publication and Classification

The League shall classify information as PUBLIC, INTERNAL, CONFIDENTIAL or HIGHLY RESTRICTED. Public publication does not create a right to disclose protected operational, personal, commercial, investigative, security or research information.

Article III – Institutional Structure and Separation of Authority

3.1 Authority Domains

UGL separates Economic, Executive, Sporting, Integrity and Research authority. Cooperation among these domains does not merge them.

3.2 Economic Authority

Economic authority governs ownership, capital, approved economic rights and reserved economic matters. It does not by itself determine Sporting outcomes, officiating, research conclusions or investigations.

3.3 Executive Authority

Executive authority administers the League, executes approved strategy, manages staff and enterprise operations, and implements decisions within delegated authority.

3.4 Sporting Authority

Sporting authority governs professional competition, including Programs, Titles, scoring, schedules, eligibility, officiating, official results, postseason and championships.

3.5 Integrity Authority

Integrity authority administers investigations, anti-cheat, disciplinary processes, procedural fairness and appeals with appropriate insulation from commercial or competitive pressure.

3.6 Research Authority

Research authority protects methodology, evidence, participant protections and the independence necessary to reach conclusions that may be inconvenient to sponsors, publishers, Clubs, executives or UGL itself.

Article IV – Clubs and League Licenses

4.1 Permanent Institutions

UGL Clubs are intended to be enduring professional institutions, not temporary teams tied to one game.

4.2 Conditional League License

Participation in UGL is conditioned on a League license and continued satisfaction of sporting, financial, operational, integrity, brand, safety and compliance requirements.

4.3 Scarcity and Expansion

League licenses are scarce and are not automatic market entitlements. Expansion, relocation and market assignment require affirmative League approval under the Codex.

4.4 Club History

Legitimate sporting history, records and identity should ordinarily survive changes in ownership unless the League determines that continuity would be misleading, unlawful or inconsistent with integrity.

4.5 No Competitive Purchase

Capital strength, sponsorship volume or commercial importance does not purchase additional Sporting authority or competitive advantage.

Article V – Ownership, Capital and Reserved Economic Matters

5.1 Lawful Ownership

Ownership and investment structures shall comply with applicable law, League eligibility rules, disclosure requirements and conflict controls.

5.2 Reserved Matters

The League may designate specified economic matters as reserved matters requiring heightened approval. Reserved economic authority does not override independent Sporting, Integrity or Research authority.

5.3 Transparency to the League

Beneficial ownership, control arrangements and material changes in ownership shall be disclosed to UGL in the form and timing required by controlled instruments.

5.4 Public Edition Limitation

Detailed private capitalization terms, confidential economic schedules and individual proprietary arrangements may be omitted from the public edition where disclosure is not required for fair participation or public trust.

Article VI – Governing Bodies, Councils and Committees

6.1 Governing Bodies

UGL may establish a Board or equivalent governing body, League Office, Sporting Council, Integrity bodies, Player Council, committees and advisory bodies as defined in the Codex.

6.2 Delegation

Authority shall be delegated expressly, documented at an appropriate level and reviewed periodically. Silence does not create authority.

6.3 Conflicts

Members of governing bodies shall disclose material conflicts and recuse themselves when required by the Codex.

6.4 Institutional Loyalty

Institutional loyalty means service to the legitimate purpose and rules of the League. It does not mean personal obedience to an individual owner, executive or sponsor.

Article VII – Commissioner and League Office

7.1 Executive Administration

The Commissioner or equivalent chief executive leads League administration subject to these Bylaws, approved delegations and reserved matters.

7.2 Limits

Executive authority may not unilaterally alter official results, compel a research conclusion, suppress a legitimate integrity process, or grant competitive advantage outside the Sporting framework.

7.3 Staff

The League Office may employ, contract and organize personnel necessary to operate UGL, subject to approved budgets, workforce rules and applicable law.

Article VIII – Sporting Constitution

8.1 Seven Championship Families

The League recognizes seven Championship Families: Sports, Racing, Strategy, Shooters, Fighting, Flight and Rhythm.

8.2 Sporting Hierarchy

Competition is organized as Family -> Discipline -> Title -> Platform -> Format. XR is ordinarily a platform layer unless the League expressly determines otherwise.

8.3 Native Competition First

Each sport should score like itself. UGL normalizes results only when distinct sports must unite into common Club standings.

8.4 Club Championship

Each Family may contribute up to 100 normalized points to the overall Club Championship, for a maximum of 700, unless a duly adopted controlled instrument provides another structure.

8.5 Postseason

Postseason qualification and seeding may rely on regular-season performance, while postseason competition may reset scoring. The preferred championship principle is first to win four of seven Families, with exact formats controlled by the Annual Competition Schedule.

8.6 Title Register

Software Titles are selected through an Annual Title Register and may be Required, Rotational, Featured, Developmental, Exhibition or Suspended. No publisher or sponsor acquires championship-selection authority merely through commercial participation.

Article IX – Integrity, Discipline and Appeals

9.1 Fair Process

A report is not proof. An unsubstantiated report is not automatically fabricated. UGL shall distinguish allegations, evidence, findings and sanctions.

9.2 No Retaliation

Good-faith reporting and legitimate participation in an investigation or appeal shall be protected from retaliation.

9.3 No Seniority Immunity

Ownership, executive rank, commercial importance or competitive value does not create immunity from legitimate review.

9.4 Appeals

Material sanctions shall be subject to an appeal or review mechanism appropriate to the nature and urgency of the matter.

Article X – Athletes and Sporting Personnel

10.1 Employment Principle

Professional athletes should be employed or otherwise lawfully engaged on professional terms where applicable. Salary and prize are distinct concepts; professional labor should not be reduced to prize-only compensation.

10.2 Specialist Model

UGL athletes compete as specialists. An athlete ordinarily holds one active Championship Title or Program assignment per competitive period, with controlled specialization-change windows.

10.3 Athlete Rights

UGL shall maintain baseline contractual, health, safety, creator/NIL, grievance, anti-retaliation and representation protections for professional athletes.

10.4 Player Council

A Player Council or comparable athlete voice mechanism shall have defined consultative and governance functions under the Codex.

10.5 Practice at Work

League rules should support the principle that practice happens at work and home remains home. Clubs should not normalize uncompensated, uncontrolled or permanently excessive practice expectations.

Article XI – UEF Interface, Research and Standards Independence

11.1 Distinct Institutions

UGL and the United Esports Federation (UEF) are functionally and legally distinct institutions with different missions and authorities.

11.2 Baseline Principle

UGL professional competition may exceed an applicable UEF standard but should not fall below an applicable UEF baseline without documented professional-level justification.

11.3 Research Independence

Research must remain capable of an inconvenient answer. Sponsors, publishers, Clubs, executives and investors may not purchase research conclusions.

11.4 Data Firewall

Research data shall not quietly become scouting, employment, disciplinary or marketing data unless lawful, ethically justified, disclosed as appropriate and specifically authorized.

11.5 Development Pathway

UEF may be a principal feeder and standards interface, but UGL eligibility shall not require exclusive ownership or control of athletes by UEF.

Article XII – Publishers, Intellectual Property and Commercial Boundaries

12.1 Publisher Rights

The publisher owns the game. UGL governs professional competition conducted within the League, subject to applicable law and legitimate licensing rights.

12.2 No Purchased Sporting Authority

Sponsorship buys visibility, not Sporting authority. Commercial partners may not select champions, dictate officiating, compel athlete selection, purchase research conclusions or convert sponsorship into procurement entitlement.

12.3 League and Club Rights

League-wide and Club-specific commercial rights shall be delineated by the Codex and applicable agreements.

12.4 Restricted Categories

The League may prohibit or restrict categories of sponsorship or promotion where they conflict with safety, youth exposure, integrity, law or institutional purpose.

Article XIII – Media, Journalism and Fan Experience

13.1 UGL.gg

UGL.gg is the principal public information and media platform for official schedules, standings, match records, Clubs, athletes, World competition, governance and live access.

13.2 Live Distribution

At launch, UGL.gg/live may aggregate or embed authorized YouTube and Twitch feeds. UGL Direct may later provide a native premium experience under separately approved technical and commercial rules.

13.3 Journalism

Owned journalism may criticize UGL. Editorial work should be insulated from improper commercial or executive interference and may not fabricate quotes or misrepresent official records.

13.4 Records

Official results and records remain governed by Sporting authority even when distributed through media products.

Article XIV – Finance, Budgets and Resource Stewardship

14.1 Financial Controls

UGL shall maintain budgets, accounting, treasury, approval limits, financial reporting and internal controls proportionate to League scale and risk.

14.2 Sustainability

Financial decisions should support durable competition, athlete and staff obligations, operational resilience, records preservation and responsible growth rather than short-term spectacle alone.

14.3 Separation of Spend and Authority

Funding a function does not automatically create governance authority over that function.

Article XV – Enterprise Risk, Compliance and Assurance

15.1 Risk Management

UGL shall maintain enterprise risk, compliance, assurance, internal audit or equivalent controls appropriate to the League.

15.2 Safety and Continuity

Competition and events shall address participant safety, venue readiness, insurance, emergency coordination, business continuity and recovery.

15.3 Assurance Independence

Where practicable, persons assessing compliance or investigating material misconduct should not be the same persons whose work is being reviewed.

Article XVI – Technology, Cybersecurity, Data and Artificial Intelligence

16.1 Technology Stewardship

UGL shall operate technology, data and cybersecurity systems proportionate to the sensitivity and importance of League operations.

16.2 Privacy

Personal data shall be collected and used for defined legitimate purposes with reasonable minimization, access control, retention and disclosure practices.

16.3 AI

Artificial intelligence may support League work but shall not fabricate official quotes, silently determine material disciplinary outcomes, or replace accountable human judgment where material rights are affected.

16.4 Security Publication

Specific cybersecurity configurations, credentials, threat intelligence and vulnerability details are not PUBLIC merely because the governing principle is public.

Article XVII – International and UGL World Operations

17.1 UGL World

UGL may operate an international national-team championship on a mature four-year cycle.

17.2 One Country, One Team

World competition shall use one national team per eligible country, subject to eligibility rules and qualification.

17.3 Seven Families

UGL World uses the seven Championship Families and specialist athletes, with a preferred knockout principle of first to win four of seven Families.

17.4 Host Model

The country becomes the venue. UGL may use a Championship Campus or multi-city network rather than depending on a permanent stadium.

17.5 Club Release

World participation shall include appropriate Club release, insurance, travel, immigration and scheduling rules.

Article XVIII – Records, Transparency and Institutional Memory

18.1 Official Record

UGL shall preserve official Sporting, governance, financial, legal, operational and institutional records according to controlled retention rules.

18.2 Public Trust

Rules, schedules, eligibility standards and information necessary for fair participation and public trust should generally be PUBLIC unless a legitimate protection requires otherwise.

18.3 Institutional Memory

The League shall preserve material decisions, lessons learned, versions and historical records so that organizational knowledge does not depend on individual memory.

Article XIX – Conflicts of Interest and Related-Party Matters

19.1 Disclosure

Material conflicts of interest and related-party interests shall be disclosed and managed under the Codex.

19.2 Recusal and Review

A conflicted decision-maker may be required to recuse, and material related-party transactions may require independent review or heightened approval.

19.3 Sporting Independence

A commercial, ownership or related-party relationship may not be used to manipulate Sporting outcomes.

Article XX – Amendments and Controlled Change

20.1 Amendment Authority

Amendments to these Bylaws require the approval threshold established by the controlling constitutional process and may not be made through informal operating practice.

20.2 Codex Changes

Codex Books and subordinate instruments may use different approval thresholds based on materiality, provided they remain subordinate to these Bylaws.

20.3 Version Control

Adopted changes shall identify version, effective date, approving authority and superseded text.

Article XXI – Continuity, Succession and Extraordinary Conditions

21.1 Continuity

UGL shall maintain succession, delegated authority and continuity mechanisms sufficient to preserve critical Sporting, integrity, records and operational functions during leadership change or disruption.

21.2 Emergency Powers

Emergency authority must be time-limited, documented, proportionate and subject to review. Emergency authority does not create permanent constitutional power.

21.3 Institutional Records

Leadership transition does not extinguish League records, obligations, legitimate Club history or adopted governance instruments.

Article XXII – Adoption, Interpretation and Public Edition

22.1 Adoption

This document has no binding effect until formally adopted by the authorized UGL governing body and assigned an effective date.

22.2 Interpretation

Interpretation should preserve separation of authority, Sporting fairness, institutional continuity, lawful rights, procedural fairness and the documented hierarchy of governing instruments.

22.3 Public Edition

This Public Consolidated Working Draft is intended for review and website publication. Confidential schedules, security-sensitive procedures, individual contracts and protected records are outside this public edition.
