1. Purpose and Scope
- This Book converts the constitutional governance model into repeatable administrative practice.
- Authority shall be traceable to an adopted instrument, approved delegation or lawful office. Silence, habit or seniority does not create decision rights.
2. Decision Rights and Delegations
- Maintain a delegation-of-authority register identifying decision owner, scope, limits, escalation and review date.
- Economic, Executive, Sporting, Integrity and Research decisions must be routed to the correct authority domain.
3. Meetings and Resolutions
- Material governance decisions shall be documented through minutes, written consents, resolutions or controlled decision records.
- Meeting records should distinguish information, recommendation, decision and assigned action.
4. Committees and Councils
- Committees require a charter, purpose, membership, authority, reporting line and review cycle.
- Advisory bodies advise unless an adopted instrument expressly grants decision authority.
5. Conflicts and Recusal
- Material conflicts must be disclosed before participation in the affected decision.
- Recusal and independent review shall be used where a reasonable observer could question impartiality.
6. Controlled Documents
- Every controlled document shall have an owner, title, version, status, classification, approval authority and effective date where applicable.
- The public website may display public editions while internal or protected implementation material remains controlled separately.
7. Information Classification
- PUBLIC supports fair participation and public trust. INTERNAL covers ordinary non-public operating information. CONFIDENTIAL covers commercial, contractual, personal or operational information. HIGHLY RESTRICTED covers sensitive personal, security, investigation, research or institutional information.
8. Governance Calendar
- UGL shall maintain an annual governance calendar for budgets, title selection, competition approvals, Club licensing, audits, risk review, World-cycle decisions and major policy updates.
9. Institutional Conduct
- Institutional loyalty means service to UGL's legitimate purpose and rules, not personal obedience.
- Governance records should preserve dissenting views where they materially explain a decision or risk.
